About these terms

These Terms of Service ("Terms") govern your use of the ICEMAN website, web app and services (the "Platform"), operated by ICEMAN ("we", "us"). By creating an account, ticking the consent box at sign-up or using the Platform, you agree to these Terms and to our Privacy Policy. This electronic agreement is binding under Indonesia's Electronic Information and Transactions Law and its implementing regulations.

If you use the Platform on behalf of a company, you confirm that you are authorised to bind it. In that case "you" means both you and the company you represent.

Who can use ICEMAN

• The Platform is for business use (B2B). Users must be at least 18 years old and legally competent.
• Each person may have only one personal account. An account can be linked to one company profile as its owner or as a team member.
• You must give accurate, complete and current information, and update it when it changes.
• You are responsible for keeping your password secret and for all activity on your account. Tell us at admin@iceman.id right away if you think your account has been misused.

Company profiles and verification

Companies can upload legal documents such as their NIB, NPWP and deed of establishment. Our team reviews them before granting the Verified badge.

• Verification means we reasonably checked the uploaded documents at the time of review. It is not a guarantee of a company's financial standing, quality of work or future performance.
• You remain responsible for your own due diligence before signing a contract or making a payment.
• Uploading forged, expired or someone else's documents is prohibited. It can lead to loss of verification, account closure and a report to the authorities.
• We may ask for additional documents or re-verify a company at any time, for example when its details change.

Tenders and bids

Project owners

• A tender must honestly describe a real need, including its scope, location, schedule and budget where given.
• If you set a bid deadline, all bids stay sealed, including from you, until that deadline. Once any bid has arrived, the deadline can only be extended.
• Your answers to bidders' clarification questions are shown to every bidder, so all bidders compete on the same information. The person who asked is not shown.
• You are free to choose, reject or not award any bid, unless you promised otherwise in your tender documents.

Bidders

• You may only bid in the name of your own company. Bid prices and content are visible only to the project owner.
• You must be able to deliver what you bid. You can edit or withdraw a bid while bidding is open, unless it has been accepted.
• Accepting a bid on the Platform starts the working relationship. What binds the parties is the contract they agree, including work stages and the payment schedule.

Fair competition

Bid rigging, price-fixing between bidders, allocating regions or winners, and any other collusion are prohibited and violate Law No. 5 of 1999 on the Prohibition of Monopolistic Practices and Unfair Business Competition. If we find signs of such conduct, we may remove bids, close accounts and cooperate with the competent authorities.

ICEMAN's role

• We provide the tools to post tenders, bid, communicate, manage project stages and store documents. We are not a party to contracts between users, not an agent of either side, and we do not guarantee that any contract will be performed.
• We currently do not process payments. Payments are made directly between companies. The Platform records the payment plan, transfer proofs and tax invoices the parties upload.
• Each party is responsible for the tax, licensing, employment and workplace-safety obligations that apply to its work.

Ecosystem partners

Banks, finance companies, insurers, notaries and law firms can join the Platform as companies. They are independent businesses that operate under their own licences and terms.

• Requests for financing, bank guarantees, insurance or legal services that you send through the Platform are subject to that partner's assessment and conditions. We do not guarantee approval.
• We do not give financial, investment, insurance or legal advice. Information on the Platform is general.
• Documents you attach to such a request are shared only with the partner you choose.

Catalog orders

Companies can list products and services in a catalog, and buyers can order directly. The seller approves, processes, ships and completes the order. The buyer can cancel an order before it is processed and confirms delivery. Prices, availability, product warranties and returns are the seller's responsibility.

Reviews

Only parties who actually did business together can leave a review: the owner of a completed project about the winning company, or the buyer of a completed order about the seller. Reviews must be honest and based on real experience, and must not contain confidential information, other people's personal data or abuse. We may remove reviews that break these Terms.

Prohibited conduct

You must not:

• impersonate another person or company, including using the name or brand of a company you don't represent;
• post fake tenders, collect competitors' bids for any purpose other than procurement, or manipulate reviews and ratings;
• offer or accept bribes, gratuities or other improper benefits in a tender;
• upload content that is unlawful, infringes someone else's intellectual property or contains malware;
• access data you are not entitled to, interfere with the Platform's security, or scrape data without our written permission;
• use the Platform for money laundering, terrorist financing or any other unlawful activity.

Content and intellectual property

You keep ownership of what you upload, such as tender descriptions, documents and portfolio photos. You give us a non-exclusive, royalty-free licence to store, display and process that content only as needed to run the Platform. Content you make public, such as your company profile and open tenders, may be shown on our website. The ICEMAN brand, logo and software belong to us.

Confidentiality

Information you receive from other users through the Platform, such as tender specifications, bid prices and project documents, may be used only for the related tender or project. You must not disclose it to third parties without the owner's permission, unless the law requires it.

Fees

Paid features, such as banner ads or specific plans, are shown with their price before you use them. We will give at least 30 days' notice before charging for a feature that was previously free.

Disputes between users

You can raise a dispute about a project or order through the Platform. Our team can help facilitate communication and review the records available. This help is non-binding and is not arbitration. The parties remain free to pursue any available legal remedy.

Suspension and closure

• We may suspend or close accounts, remove content or withdraw verification if you breach these Terms or the law, or where needed to protect other users. Where possible we will tell you why.
• You can ask us to delete your account at any time from your Profile in the app or by email. Records that also belong to other parties, such as your bid on someone else's tender, may be kept in a form that no longer identifies you, as described in our Privacy Policy.

Limitation of liability

The Platform is provided "as is". We work to keep it available and secure, but we don't guarantee it will be uninterrupted or error-free. To the extent permitted by law, we are not liable for:

• the performance, quality, delay or breach of contracts between users;
• an ecosystem partner's decision on a financing, insurance or legal request;
• indirect loss, loss of profit or loss of business opportunity.

Our total liability for any claim relating to the Platform is limited to the fees you paid us in the 12 months before the claim arose. This limit does not apply to loss caused by our wilful misconduct or gross negligence.

Indemnity

You agree to hold us harmless from third-party claims arising from your breach of these Terms, your breach of the law or content you upload.

Changes to these terms

We may update these Terms. For material changes we will notify you through the Platform or by email at least 14 days before they take effect. If you keep using the Platform after a change takes effect, you accept it.

Governing law and language

These Terms are governed by the laws of the Republic of Indonesia. Any dispute will first be settled amicably within 30 days. Failing that, it will be settled by the South Jakarta District Court. These Terms are made in Indonesian and English. If the two versions differ, the Indonesian version prevails.
